Terms & Conditions

PLEASE READ THESE TERMS CAREFULLY. They include (i) an arbitration agreement and class action waiver in Section 18, (ii) automatic subscription renewal and cancellation provisions in Section 11, (iii) limitations on warranties and liability in Sections 14-15, and (iv) important medical service disclaimers throughout. By using Medmi, you agree to these Terms.

These Terms & Conditions ("Terms") govern your access to and use of the Medmi website, intake forms, patient portal, communications, content, features, products, telehealth services, and subscription offerings (collectively, the "Platform" or "Services"). "Medmi," "we," "us," and "our" refer to Medmi Health, its participating professional entities, service providers, contractors, affiliates, successors, and assigns. "You" and "your" refer to the individual accessing or using the Platform.

1. Acceptance of Terms

By accessing the Platform, creating an account, completing an intake, or purchasing any product or service, you agree to these Terms, our Privacy Policy, our Notice of Privacy Practices, and where applicable our Finasteride Risk Disclosure, Cancellation & Refund Policy, and Medical Consent. If you do not agree, do not use the Platform.

2. Eligibility

You may use the Platform only if you:

Medmi reserves the right to refuse service, terminate accounts, or limit access at our discretion and as required by applicable law.

3. Nature of Services — IMPORTANT MEDICAL DISCLAIMER

Medmi is a digital health platform that coordinates access to independent licensed healthcare providers and licensed pharmacies. Medmi is not itself a medical provider, medical group, hospital, or pharmacy, and Medmi does not practice medicine or pharmacy. Medical services are provided by independent professional entities and individual licensed clinicians affiliated with the Platform.

Submission of an intake form, payment of a fee, or any other action through the Platform does not guarantee a prescription or any specific clinical outcome. Providers independently determine clinical appropriateness. A provider may decline to prescribe, request additional information, request a video or telephone consultation, refer you for in-person care, or determine that the Platform is not appropriate for your needs.

Medmi does not provide emergency medical care. If you are experiencing a medical emergency, including thoughts of self-harm or suicide, call 911 or 988 (Suicide & Crisis Lifeline) immediately, or go to the nearest emergency room.

4. Telehealth and Provider-Patient Relationship

Healthcare services through Medmi are delivered via telehealth, including online intake, messaging, video, and phone communications. By using the Services, you acknowledge:

6. Identity Verification

To comply with applicable law and to protect against fraud, you agree to provide truthful and accurate information, including a valid government-issued identification document and any other verification reasonably requested. You may not impersonate any other person, create an account on another person's behalf without authorization, or use the Platform to obtain a prescription for any person other than yourself.

7. Accounts and Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts with reasonable notice or, where necessary to protect Platform integrity or user safety, without prior notice.

8. User Content and Clinical Photographs

You may submit information, including text, photographs, and other content ("User Content"), as part of your intake or care. You represent that you have all necessary rights to submit such content and that the content does not violate any law or third-party rights.

For clinical photographs and other PHI, our use is governed by HIPAA and our Notice of Privacy Practices. We do not use clinical photographs for marketing, advertising, training of artificial intelligence models, or any non-treatment purpose without your separate written authorization.

For non-PHI content (e.g., reviews or testimonials submitted publicly), you grant Medmi a worldwide, royalty-free, non-exclusive license to use, display, and distribute such content in connection with operating and promoting the Services. You may revoke this license for future uses by contacting us, except that we may retain content already disseminated where revocation is not technically feasible.

9. Pricing, Payment, and Billing

Prices for products, services, and subscriptions are displayed at the point of purchase and may change from time to time. Applicable taxes, shipping, and dispensing fees may apply. By providing payment information, you authorize Medmi (and its payment processors) to charge the applicable amounts to your selected payment method.

Consultation and evaluation fees are generally non-refundable once a provider has reviewed your intake, except where required by law or as expressly stated in our Cancellation & Refund Policy. Prescription medications, once dispensed, are generally non-returnable in accordance with pharmacy law.

10. Subscription Plans and Auto-Renewal

Some Medmi products are offered as subscriptions that automatically renew at the frequency disclosed at checkout (e.g., monthly, quarterly). By enrolling in a subscription, you agree to the following:

11. Cancellation Rights — Click-to-Cancel

Consistent with the U.S. Federal Trade Commission's Negative Option Rule and applicable state laws (including California's Automatic Renewal Law), you have the right to cancel your subscription at any time using a method that is at least as easy as the method you used to enroll.

How to cancel:

We will confirm your cancellation by email. We will not require you to speak to a representative, complete a survey, or accept a retention offer in order to cancel. Cancellation does not affect services already rendered. See our Cancellation & Refund Policy for full details.

12. Shipping and Delivery

Medications and products are shipped in discreet packaging via licensed carriers to the address you provide. Title and risk of loss pass to you upon delivery. Estimated delivery times are provided for convenience and are not guaranteed.

14. Disclaimers of Warranty

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by law, Medmi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Medmi makes no warranty regarding clinical outcomes. Individual results from hair restoration treatments vary widely and are influenced by many factors including genetics, age, the underlying cause of hair loss, adherence to treatment, and other variables. No specific outcome is promised or guaranteed.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDMI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Platform, even if advised of the possibility of such damages.

In no event shall Medmi's aggregate liability arising out of or related to your use of the Platform exceed the greater of (i) the total amount paid by you to Medmi in the 12 months preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US$100).

This limitation does not apply to liability for medical malpractice claims against individual treating providers, which are governed by applicable state law and the provider's own professional liability arrangements. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Medmi and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your misrepresentation of facts or identity, (c) your unauthorized use of the Platform, or (d) your violation of any law or third-party rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification.

17. Intellectual Property

All content, software, and materials on the Platform — including trademarks, logos, text, images, graphics, audio, video, and software — are owned by Medmi or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, revocable license to use the Platform for personal, non-commercial purposes consistent with these Terms. No other rights are granted.

18. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for (i) claims for medical malpractice against individual licensed providers, (ii) small claims court actions, (iii) claims for injunctive relief related to intellectual property, and (iv) any other rights that cannot be waived under applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved by individual binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You and Medmi each waive the right to bring or participate in any class action, collective action, or representative proceeding, except where this waiver is prohibited by law. Arbitration will take place in the federal judicial district where you reside, unless both parties agree otherwise. The arbitrator's decision will be final and binding.

30-Day Right to Opt Out: You may opt out of this Arbitration Agreement by sending written notice to legal@medmi.org within 30 days of first agreeing to these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of [Insert State of Incorporation, e.g., Delaware], without regard to conflict-of-laws principles, except that consumer protection laws of your state of residence may apply where they provide additional rights. Subject to Section 18, any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in [Insert County, State].

California Residents

If you are a California resident, you have the right to be notified, before being charged, of the start and end dates of any subscription and the cancellation process. You may cancel a subscription at any time using the methods described in Section 11. Texas Residents

Texas residents acknowledge that telehealth services are provided in compliance with Texas Occupations Code Chapter 111 and applicable Texas Medical Board rules. The provider-patient relationship is established consistent with Texas law.

Other States

Where state law provides additional consumer or healthcare rights, those rights apply in addition to those described in these Terms. Nothing in these Terms is intended to override mandatory consumer protections under your state's law.

21. Termination

We may suspend or terminate your access at any time for any breach of these Terms or where necessary to protect users, providers, or the Platform, with notice where reasonably possible. You may terminate by closing your account at any time. Upon termination, certain provisions (including Sections 14-19) will survive.

22. Changes to These Terms

We may update these Terms from time to time. The "Effective date" at the top will be revised. For material changes, we will notify you by email or prominent notice on the Platform at least 30 days before the change takes effect, except where a shorter timeframe is required by law. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

23. Force Majeure

Medmi will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, internet or utility failures, or supply chain disruption.

24. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. The failure of Medmi to enforce any right or provision is not a waiver of such right or provision.

25. Entire Agreement

These Terms, together with our Privacy Policy, Notice of Privacy Practices, Finasteride Risk Disclosure, Cancellation & Refund Policy, Medical Consent, and any other policies posted on the Platform, constitute the entire agreement between you and Medmi regarding the Platform and supersede all prior agreements on the subject.

These Terms are intended to comply with applicable U.S. federal and state laws as of the effective date listed above, including but not limited to the FTC Act, the FTC Negative Option Rule, the Restore Online Shoppers' Confidence Act (ROSCA), and applicable state automatic renewal laws. They are not legal advice. Use of the Platform is subject to additional terms that may apply to specific products or features.
